Terms & Conditions

Last updated: 27 October 2026

1. Who I am

LaingLogic is the trading name of Ellis Laing, a sole trader. My address for post, notices and legal documents is Office 1, Technology House, 9 Newton Place, Glasgow, G3 7PR, United Kingdom. You can reach me at enquire@lainglogic.com or on +44 7538 900825. I am registered with the Information Commission (the ICO) under registration number ZC263460. I am not registered for VAT.

I hold professional indemnity, public liability and cyber insurance with Hiscox Insurance Company Limited, 22 Bishopsgate, London EC2N 4BQ. The professional indemnity and public liability cover is worldwide for claims brought anywhere except the United States and Canada, and the cyber cover is worldwide.

2. These terms and your agreement

These terms apply to your use of this website, the client portal at login.lainglogic.com and portal.lainglogic.com, and every service I provide. When you work with me, your agreement is made up of:

  • your proposal, which sets out the scope, timeline, prices and payment stages for your project;
  • these terms;
  • my Refund Policy and Subscription Policy;
  • for a site I host, my Hosting Terms, which include the terms on which I handle your customers' personal data.

Each of these applies in the version dated on the day you sign or accept your proposal. The proposal shows that date. A later version applies to your agreement only if we both agree to it in writing, and email is enough. The exception is the Hosting Terms, which I may change on notice as their section A16 sets out.

A contract is formed when you sign your proposal, or accept it by email, and I confirm that I will start. If two of these documents say different things, your proposal comes first, then the Hosting Terms, then these terms, then the two policies, unless that would take away a right the law gives you as a consumer.

These documents are the whole agreement between us about your project. They replace anything said or written before it, though nothing in them limits liability for fraud. Nobody else has a right to enforce any of their terms under the Contract (Third Party Rights) (Scotland) Act 2017.

You can save or print this page. I keep a copy of each version I publish, and I will send you the version you accepted if you ask.

3. Business clients and consumers

Most of my clients buy for a business. Some rights belong only to consumers: people buying wholly or mainly for themselves, outside any trade, business or profession. A sole trader buying a website for their business is a business client. Your proposal records which you are. Where a section applies to only one of the two, it says so. Evolve and the monthly extras (hosting, the care plan and the AI chat assistant for an Origin site) are for business clients only, so a consumer can buy an Origin build but not a monthly plan. If you are a consumer, nothing in these terms takes away or limits your statutory rights.

4. My services

I design and build websites and Shopify themes, host websites on my own platform, and look after them. Origin is a site built once and handed over. Evolve is a site built, hosted and improved every month with no build fee. Your proposal sets out exactly what your project includes.

Timelines in a proposal are estimates. They depend on you sending content, access and approvals when I ask for them, and a delay on your side moves them on. A date is fixed only where your proposal says it is. Rapid development runs from the day I have everything I need to start.

I use AI tools, currently Claude from Anthropic, to help design, write and build websites and to prepare my documents. I direct that work, review and test what the tools produce before it reaches your site, and remain responsible for it as for anything else I deliver. My privacy policy explains what information those tools see.

5. Prices and payment

Prices are in pounds sterling. I am not VAT registered, so no VAT is added.

Your proposal names any third-party cost your project needs, such as a Shopify plan, a domain, email on your domain or another paid service you ask for. Those costs are yours, are billed by their providers and are separate from my fees.

Unless your proposal says otherwise:

  • an Origin build starts with a deposit of 10% of the build price in your proposal, invoiced when you accept the proposal; I start once it is paid;
  • Evolve starts with your first month's fee, invoiced when you accept your proposal; I start once it is paid, and it pays for the first month of the plan;
  • monthly fees are invoiced in advance on the same day each month as your plan started, and yearly fees on the same day each year;
  • every invoice is due within 14 days of its date, and shows its due date.

You can pay by bank transfer or by card. Card payments are taken through Stripe, and I never see or store your full card details.

If you are a business client and pay late, I may claim interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998. If an invoice is still unpaid 14 days after its due date, I may pause the work, and the hosting of a site I host, after telling you in writing. Fees for a plan keep running while it is paused for non-payment.

My bank details never change by email. If you receive a message asking you to pay a different account, call me on +44 7538 900825 before you pay anything.

Evolve has a 12-month minimum term. There is no build fee: the cost of building your site is spread across the term. After the minimum term the plan continues month to month. Ending it during the term has a charge, set out in section 6 of the Refund Policy. The Subscription Policy explains how the plans run.

6. Changes

Changes during the build are part of every plan, and Evolve includes changes every month after launch. A change request is one consolidated set of feedback rather than a stream of separate edits. Work outside the scope in your proposal may be quoted separately, and I will not start it until you agree the price.

7. Your responsibilities

You agree to:

  • give me accurate and complete information, and the access listed in your proposal;
  • send content, assets and approvals when I ask for them;
  • approve every page before it goes live, and check that the facts, prices, claims and business details on your site are correct;
  • own, or have permission to use, everything you send me, including text, images, logos, fonts and product data;
  • keep your own copies of the content you send me and of anything your site collects that you need to keep;
  • keep your own accounts secure, including your domain, Shopify store, email and portal sign-in.

If your business is regulated, such as by the Financial Conduct Authority, the regulatory content of your site is yours to supply and approve. I do not give legal, financial or regulatory advice.

Any analytics tool, advertising pixel or other tracker on your site is your choice and your responsibility, including one you ask me to add. I install a consent system first, and nothing that needs consent runs before a visitor gives it.

If a build waits on you for more than 60 days, I may close it by giving you 14 days' notice in writing, and invoice the work done up to then.

8. Intellectual property

The design and code I create specifically for your project are assigned to you under the IP assignment I sign at handover. The assignment takes effect when the invoice it names is paid in full. Until then, you may use the work for your project, and that permission ends if our agreement ends before the invoice is paid.

Some things are not assigned:

  • my own tools, reusable components and code I use across projects stay mine, and I give you a permanent licence to use them as part of your site;
  • third-party fonts, libraries, images, icons and services stay under their own licences, and keeping any paid licence or subscription they need is your responsibility after handover;
  • everything you supplied stays yours.

Parts of the work are made with AI tools under my direction and review, as section 4 explains. The IP assignment says what I can and cannot confirm about that.

Unless you tell me otherwise, I may show the finished work, with your name and logo as a credit, in my portfolio and marketing. You can withdraw that permission at any time by email.

This website's own content, including its text, images, logo and code, stays mine or my licensors'. You may view and print pages for your own reference, and must not otherwise copy or reuse them without my written permission.

9. Website policies I produce for you

Any privacy, cookie, terms, refund or shipping policy I produce for your site is drafted from the facts you supply, or is a template where you supply none. It is not legal advice, and I am not a solicitor. Have a solicitor review your policies before your site goes live.

You are responsible for checking that your policies are accurate and complete for your business before launch, and again whenever your business, the site or the law changes, and for telling me in writing of any change they need. I will tell you when a change I make to your site, such as adding a form or an analytics tool, may affect what a policy needs to say.

If you are a business client, I accept no liability for regulatory action, fines or loss arising from the content of your policies. If you are a consumer, that exclusion does not apply where the loss is caused by my failure to use reasonable care and skill.

10. Accessibility

I build to the Web Content Accessibility Guidelines (WCAG) 2.2 at level AA and test against them at handover. Content, apps or themes added later, by you or anyone else, affect accessibility, so keeping the site accessible after handover is your responsibility.

I do not promise that your site complies with the Equality Act 2010 or any other law that applies to your business. The duty to make reasonable adjustments for disabled people is yours as the business providing the service.

11. No guarantee of results

I do not promise any commercial or search outcome. Search rankings, traffic, conversion rates, sales and third-party performance scores such as PageSpeed depend on things outside my control, including your prices, your products, your competitors and the platforms' own algorithms. What your proposal says I will deliver is binding; outcomes like these are not part of it.

12. Third-party services and events outside my control

Websites depend on services I do not control, including Cloudflare, Shopify, Stripe, Zoho, GoDaddy, Resend, Google, Apple and Anthropic, and any other supplier a site relies on. Those services are supplied under their own terms, and their prices, features and availability are set by them and can change or be withdrawn at any time. I am not liable for their outages, price changes, policy changes or withdrawal of a service, or for the data they hold. If you are a consumer, I remain responsible for the suppliers I choose to use to provide my services to you, as section 15 describes.

I am not responsible for a delay or failure caused by something outside my reasonable control, such as a provider outage, a cyber attack on a provider, a power or internet failure, illness or extreme weather. I will tell you as soon as I can and do what I reasonably can to limit the effect.

13. Hosting

If I host your site, my Hosting Terms also apply. They cover availability, backups, suspension, your domain, ending hosting and getting your data back, payments taken on your site, and the terms on which I handle your customers' personal data.

14. Cancellation and ending

If you are a consumer, you can cancel within 14 days, starting the day after we agree the work, whether we agreed it online, by email, by phone, on WhatsApp or anywhere other than my office. If you asked me to start within that time, you pay for the work done before you cancelled. Section 3 of my Refund Policy explains how, and includes a model cancellation form.

Either of us may end an Origin build by telling the other in writing. You pay for the work completed up to that point, and anything you have paid beyond its value is refunded. Section 4 of the Refund Policy explains how the deposit is treated.

Evolve ends as section 6 of the Refund Policy sets out. Hosting for an Origin site, the care plan and the AI chat assistant have no minimum term and end one month after you tell me.

I may end our agreement by telling you in writing if you break it in a serious way and do not put it right within 14 days of my asking, or, if you are a business client, if you become insolvent.

15. Liability

Please read this section carefully. It limits what I pay you if something goes wrong.

Nothing in our agreement limits or excludes my liability for death or personal injury caused by my negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow me to limit or exclude.

Subject to that, my total liability to you for all claims together arising out of or in connection with our agreement, including the IP assignment and the Hosting Terms, is limited to the greatest of:

  • the fees you paid or must pay for the services the claims relate to in the 12 months before the event that gave rise to the first claim;
  • the total price stated in your proposal; and
  • £25,000.

If you need a higher limit, ask me before you accept your proposal and I will quote for it.

If you are a business client, I am not liable for indirect or consequential loss, or for loss of profit, revenue, business, contracts, anticipated savings, goodwill or reputation, for the cost of substitute services, or for the loss or corruption of data beyond restoring it from my latest backup, however that loss arises.

If you are a consumer, I am responsible for loss you suffer that is a foreseeable result of my breaking our agreement or failing to use reasonable care and skill. Loss is foreseeable if it was obvious it would happen, or if we both knew it might happen when we agreed the work. I am not responsible for loss that was not foreseeable, or for business losses where you use the site for a business. Nothing in this section stops you recovering the price you paid.

If I fix something, refund a fee or make a goodwill payment, that is not an admission of liability. Nothing in our agreement limits my right, or the right of anyone who insures me, to recover a loss from someone else.

16. Your responsibility for what you supply

If you are a business client, you will cover the costs, damages and reasonable legal fees I incur if a third party brings a claim against me because of material you supplied, the content, products or claims on your site, your dealings with your customers, the trackers you choose, or the way you use your website after handover.

If you are a consumer, you will cover my reasonable costs only where a third party brings a claim against me because material you supplied breaks the confirmation in section 7 that you own it or have permission to use it.

17. Confidentiality

We both agree to keep confidential any non-public business information the other shares during our work together, and not to disclose it to anyone else without permission. This does not stop either of us sharing information where the law requires it, with our professional advisers or insurers, or, in my case, with the service providers I use to do the work, including the AI tools in section 4, under their own terms. My tools, reusable code and methods are my confidential information.

18. Complaints

If you are unhappy with anything I have done, email enquire@lainglogic.com or use the contact form and say what went wrong. I reply within 2 business days and work to put things right as quickly as I can. A complaint about how I handle personal data is dealt with as my privacy policy sets out.

I am not a member of any dispute resolution scheme. If you are a consumer in Scotland, Advice Direct Scotland (consumeradvice.scot) gives free advice.

19. Acceptable use of this website and the portal

When you use this website or the client portal you agree to:

  • use them only for lawful purposes, and not in a way that could damage, disable or impair them;
  • not attempt to gain unauthorised access to them, the servers they run on or any connected system, or to interfere with or disrupt them (such acts are offences under the Computer Misuse Act 1990);
  • not introduce viruses or other malicious or harmful material;
  • not misuse any form, for example to send spam or bulk unsolicited messages;
  • not scrape, crawl or harvest data from them without my written permission;
  • keep your portal sign-in to yourself, and tell me straight away if you think someone else has used it.

20. Website availability

I aim to keep this website and the portal available, but I do not promise uninterrupted access. I may suspend, withdraw or restrict all or part of them for business or operational reasons, and I am not liable for any period during which they are unavailable.

21. Information on this website

The content of this website is general information. I keep it up to date with reasonable care, but I do not promise it is complete or free of errors, and it may change at any time without notice. What we agree in your proposal is what binds us.

22. Links to other websites

Where this website links to other sites, the links are for information only. I have no control over their content and do not endorse them.

23. Notices and general terms

A notice under our agreement must be in writing, and email to the addresses in your proposal, or to enquire@lainglogic.com, is enough. An email sent on a business day is received that day.

I may use subcontractors, and I remain responsible for their work. If I move LaingLogic into a company, I may transfer our agreement to it and will tell you; otherwise neither of us may transfer it without the other's agreement.

If a court finds part of our agreement unenforceable, the rest still applies. If either of us does not enforce a right straight away, that does not give it up.

24. Changes to these terms

I may update these terms. The date at the top of this page shows the current version. A change applies to agreements made after that date; an agreement already in place keeps the version you accepted unless we both agree otherwise in writing, or the change is to the Hosting Terms and made under their section A16. Your continued use of this website after a change means you accept the updated terms of use of the website.

25. Governing law and courts

These terms, your agreement and any dispute or claim arising out of them, my website or my services are governed by the law of Scotland.

If you are a business client, the Scottish courts (the Sheriff Court or the Court of Session) have exclusive jurisdiction.

If you are a consumer, you may bring proceedings in Scotland or in the courts of the part of the United Kingdom where you live, and I will bring proceedings against you only in the courts of the part where you live. Scots law applies without taking away any protection you have under the law of the place where you live.

26. Contact

For any questions about these terms, email me at enquire@lainglogic.com or call +44 7538 900825.
